TERMS AND CONDITIONS OF SALE

PRICING:
All prices quoted are held for 30 calendar days from the quoting date.  Prices on published price lists are subject to change without notice.  Please confirm pricing with Link-Pipe Inc. before ordering.  All prices quoted are F.O.B. Link-Pipe Inc. factory in Richmond Hill, Ontario.  Prices do not include taxes, duty, transportation, or other charges.  In USA Duties and State Taxes are not added to the quoted price except in states where Link-Pipe Inc. is authorized to do so, in which case the State Taxes are added to the invoiced amount.  In all other cases the ownership of purchased goods are transferred to the buyer at Link-Pipe dock.  In Canada, Federal and Provincial Taxes are added to the quoted price as required by governing laws.  In all other cases the Customer is required to submit evidence of tax exempt status to avoid being charged tax.

TERMS:
Cash, certified cheque, money order or irrevocable letter of credit covering the full amount of sale is required with all purchase orders.

ACCEPTANCE OF ORDERS:
All orders are subject to acceptance in writing by Link-Pipe Inc.  Accepted orders cannot be cancelled without the prior written approval of an authorized Link-Pipe representative.  Cost of goods returned without such prior written approval will not be refunded.  All returned goods, if approved, are subject to restocking charges and transportation cost settled before returned goods are accepted by Link-Pipe Inc.

DELIVERY:
Link-Pipe Inc. will endeavor to deliver materials on the dates quoted, however, Link-Pipe Inc. cannot be held responsible for delays caused by reasons which are beyond its immediate control.

SHIPPING:
A Purchase Order is the source of all shipping instructions.  Please give with Purchase Order the complete shipping address, name of the receiver, E.I.N. (Employer Identification Number), state/provincial tax exemption number, and the shipping company account number if applicable.  If the buyer has no tax exemption status with the state/province, a written statement should be enclosed advising that the buyer will pay all applicable state/provincial taxes.  Without specific shipping instructions before the quoted shipping date, Link-Pipe Inc. reserves the right to determine the best method for shipping.  All shipments are subject to the same laws, terms and conditions as stipulated by public carriers.

GENERAL:
Link-Pipe Inc. reserves the right to make changes in products and/or specifications in order to improve quality and reliability.  Link-Pipe Inc. published data sheets, application notes, other published and produced materials and price lists are subject to change without notice.  Link-Pipe Inc. reserves the right to make changes to these TERMS AND CONDITIONS as it deems necessary from time to time.  Please contact Link-Pipe Inc. for the most up-to-date revision.

 VERBAL CONTRACTS:
All verbal commitments shall be effective only once written confirmation of the existence of such contract has been signed and dated by all parties concerned.  Without such proof in writing, all verbal contracts shall be deemed to be non-existent.
